IDEAL CANDIDATE:
  • Minimum of five years business experience in investment banking and corporate development associated with M&A; ideal candidate will have experience in both environments but will consider someone in investment banking who wants to be part of a corporate development team
  • Must have hands on experience with financial modeling related to M&A since this will be an emphasis in this role; there is not an analyst who handles the financial modeling/the person in this role will handle the modeling 

The Corporate Development Department is responsible for driving the Company’s short- and long-term growth strategies in collaboration with global business units, regions, and innovation centers. The team identifies, evaluates, values, structures, and negotiates strategic business opportunities—including acquisitions, divestitures, alliances, and equity investments. Acting as objective advisors, they assess strategic fit, valuation, and deal structure, while managing projects and transactions in partnership with leadership teams. The department also shapes and executes corporate strategy and maintains valuation models, as well as processes for transactions, due diligence, and integration.

The Senior Manager Corporate Development will play a critical role supporting M&A process from start to finish working closely with senior Corporate Development leadership in developing M&A strategies, identifying potential targets, and overseeing all aspects of transaction execution. 

Responsibilities: 
  • Work in close partnership with business unit leadership to develop investment theses for potential acquisitions and create detailed operating models to stress test key assumptions. 
  • Build financial models and related analyses, including discounted cash flow, LBO, merger consequences and investment returns for potential transactions. 
  • Play a key role in the development of transactional plans required to evaluate and complete transactions.
  • Lead all aspects of the due diligence process that would include planning, execution, leadership reviews etc.
  • Help to identify deal risks and work with business unit and functional leaders to assess and devise solutions. 
  • Lead and motivate deal teams comprised of both internal associates and external advisor relationships (investment banks, law firms, industry consultants, accounting firms). 
  • Build partnerships with business units, regional representatives, and functions to enhance overall transactional process and understand strategic priorities. 
  • Support teams performing industry and competitive research, often in partnership with corporate strategy and business unit SMEs, to support M&A strategy and inform senior leadership.

Education and Experience required:
  • B.A. or B.S. degree. Background in finance or accounting preferred.
  • Minimum of five years business experience in investment banking, corporate finance and/or corporate development/M&A.

Knowledge and Skills required:
  • History of outstanding academic and professional achievement.
  • Demonstrated quantitative and strategic thinking aptitude.
  • Experience structuring, negotiating and closing business development-related transactions.
  • Strong capabilities in understanding and structuring complex transaction documents. 
  • Experience leading robust, multifunctional due diligence efforts.
  • Ability to partner with attorneys and other deal professionals in developing and evolving transaction structures, integrating due diligence findings and driving successful negotiation outcomes. 
  • Excellent communication (written and verbal), leadership, interpersonal, critical thinking and problem-solving skills. 
  • Demonstrated ability to work effectively within teams.
  • Exemplary attention to detail in all aspects of work product.
  • Positive attitude, a strong work ethic and ability to meet demanding deadlines.
  • Proficient in Microsoft Office Suite, including Word, Excel, PowerPoint, Outlook, and Teams.

Preferred qualifications:
  • M.B.A. or equivalent degree preferred.
  • Experience in the life sciences, medical or health care industry preferred.
